Paralegal

Job Summary: This position will assist the legal department in all aspects of the legal function, including review and execution of contracts, due diligence in connection with corporate transactions, and with the preparation of documents and filings as necessary to comply with federal, state, and local regulations in the conduct of business activities.

Essential Duties and Responsibilities:

• Maintain, organize, and support the Company’s legal databases, which include contract, litigation, and license databases

• Maintain and organize legal, corporate, and other various records

• Manage and prepare applications and renewals of the Company’s professional and business licenses in numerous jurisdictions; work with operations to ensure awareness of licensing

• Coordinate with outside vendors that support licensing functions

• Assist with the preparation of all documents required for the formation and dissolution of legal entities in various states

• Assist with the preparation of documentation for annual reports, renewals, amendments, withdrawals, fictitious name statements, renewal of trademark records, for various legal entities; and work with outside vendors that support these functions

• Support various corporate secretarial functions, including assisting with drafting minutes, resolutions and written consents, and maintaining corporate minute books and other corporate records

• Assist with due diligence, virtual data rooms, and post-closing administration and integration as well as other corporate matters in connection with mergers and acquisition activity

• Respond to requests for information and documents from internal and external auditors, regulators, internal business partners, and other stakeholders

• Provide support for all Company contracts including customer contracts, subcontracts, equipment leases, real property leases, and confidentiality agreements among others

• Assist with the maintenance and administration of corporate policies and programs

• Assist with legal support for the stock administration function, including filings, plan document, prospectuses, and employee communications

• Assist with administration of corporate governance policies

• Other duties as assigned

Qualifications: To perform this job successfully, an individual must be able to perform each essential duty mentioned satisfactorily. The requirements listed below are representative of the knowledge, skills, and/or ability required.

Education: Bachelor’s d egree in a relevant field from a four-year college or university

Experience:

• Five or more years related experience in a legal environment, including three years of corporate paralegal experience (preferably in a public company environment)

• Paralegal or other legal certification preferred

• Experience preparing board and committee materials and familiarity with public company filings

Technical Skills:

• Computer and Microsoft Office proficiency

• Ability to quickly learn the organization’s systems and databases

Soft Skills:

• Highly organized and detail orientated

• Strong verbal and written communication skills

• Ability to work independently and as a member of various teams

• Ability to multi-task and work in a fast-paced environment under tight deadlines

• Ability to think analytically, apply sound judgment, and solve problems

Physical Requirements:

• Must be able to pass pre-employment screening that includes background and drug testing

• Must have a valid driver’s license and a driving record that meets Company requirements

• Sitting at a desk for 6-8 hours a day

• Working on a computer for 6-8 hours a day
